Responsibilities:

SEC Reporting and Compliance Manager for a publicly held fabless semi-conductor and software licensing company. This position will manage and prepare the Company’s SEC filings, research and document technical accounting issues that are relevant to the Company, and will direct, coordinate, maintain the ongoing compliance with Sarbanes-Oxley. The successful candidate will have a strong background in the SEC reporting processes and knowledgeable of internal controls; along with excellent leadership and communication skills.

  • Manage the coordination and preparation of all SEC filings, including Form 10-Qs and 10-K, and the Annual Report
  • Assist with the annual proxy preparation process and shareholders' meeting.
  • Assist in the preparation of other SEC filings such as Form 8-K, Form 4, and registration statements, as required
  • Serves as liaison and contact for external auditors as it pertains to audit reviews; gathers and researches information; answers questions.
  • Assist with the preparation of earnings releases, communications with the Audit and Disclosure Committees, and other communications/presentations for accuracy and completeness.

    • Proven track record selling Intellectual Property RTL & solution-based semiconductor products [HW/IPR, middleware, application and enterprise back end applications], particularly to ASIC companies and major networking OEMs.
    • Experience selling content protection solutions to consumer device OEM’s and digital content providers.
    • Background in modern security networking architectures, trusted systems and how symmetric and asymmetric key systems work
    • Ability to convey complex value propositions to customers with varying levels of understanding
