Responsibilities:
SEC Reporting and Compliance Manager for a publicly held fabless semi-conductor and software licensing company. This position will manage and prepare the Company’s SEC filings, research and document technical accounting issues that are relevant to the Company, and will direct, coordinate, maintain the ongoing compliance with Sarbanes-Oxley. The successful candidate will have a strong background in the SEC reporting processes and knowledgeable of internal controls; along with excellent leadership and communication skills.
- Manage the coordination and preparation of all SEC filings, including Form 10-Qs and 10-K, and the Annual Report
- Assist with the annual proxy preparation process and shareholders' meeting.
- Assist in the preparation of other SEC filings such as Form 8-K, Form 4, and registration statements, as required
- Serves as liaison and contact for external auditors as it pertains to audit reviews; gathers and researches information; answers questions.
- Assist with the preparation of earnings releases, communications with the Audit and Disclosure Committees, and other communications/presentations for accuracy and completeness.
- Analyze new and proposed accounting standards issued by the SEC and the FASB to determine the impact on the company. Implement new accounting standards as required
- Provide technical expertise for US GAAP and SEC regulations and draft technical memos illustrating guidance and conclusions
- Establish and document accounting policies and procedures
- Review collaborative and other financial agreements, establishing the appropriate accounting treatment
- Responsible for company’s compliance with Sarbanes-Oxley requirements
- Coordinate with outside SOX service provider and outside auditors and internal groups to ensure proper controls are documented and functioning properly
- Act as Subject Matter Expert on SOX compliance and internal control issues
- Mentor and educate internal customers, companywide, in regards to Sarbanes Oxley compliance
- Manage ad hoc projects and prepare responses to various requests for information
- Administer corporate insurance policies
- Assist with month end closing journal entries
- Prepare 401(k) compliance data and annual filings
Required Education/Experience:
- Bachelor’s Degree in Accounting
- CPA and Big 4 public accounting experience required
- Minimum of 5+ years of relevant experience
- Strong written and verbal communication skills
- Thorough understanding of SEC filing requirements and US GAAP
- Ability to work independently and within a team environment, and to make well-reasoned and timely decisions
- Strong project management skills to establish and meet deadlines
Responsibilities:
- Primarily responsible for drafting, reviewing, negotiating, and finalizing complex commercial agreements with an emphasis on technology transfers and software licensing. This role will have a high level of interaction with internal business units, external customers, vendors and strategic partners to provide timely updates and counsel on various legal and contractual issues.
- Must identify, analyze and communicate key risk issues throughout the deal cycle, provide legal advice and develop risk mitigation strategies after input from key stakeholders and business leads. Interface and negotiate directly with customer and vendor attorneys, procurement and contracting staff.
- Work closely with global business teams to understand key IP and commercial requirements and ensure that contractual terms comply with management priorities and company legal and business policies and procedures.
- Experience in counseling on IP matters related to semiconductor and software technology.
- Excellent interpersonal and communication skills; must work well in fast-paced, highly collaborative, team environment.
- Excellent business judgment, ability to think strategically and give practical advice.
- Collaboration with business executives and company employees at all levels, across multiple functions, and must maintain a high level of responsiveness and customer service.
- International experience and foreign subsidiary support is a strong plus.
Required Education/Experience:
- Knowledge of federal, state and local laws. Strong interpersonal, verbal and written communication skills. Ability to analyze case law and provide recommendations.
- A minimum of three to five years of corporate law experience.
- Membership in a State Bar as an attorney qualified to practice law as an in-house counsel in Florida.
Responsibilities:
Identify and close IPR sales opportunities that meet/exceed territory revenue objectives, which include the following requirements:
- Establish strategies (account targets and penetration plans) and meet/exceed objectives (design-wins, sales dollars) for the assigned territory.
- Negotiate and Win IP Sales Opportunities (2-3 per quarter) with potential revenue of $1M or more
- Generate forecast, design win tracking and meet/exceed forecast via corporate tools and AuthenTec forecasting methods, systems and meetings/presentations
- Generate, manage, and close a consistent pipeline of new opportunities
- Full time interaction with customers, customers’ management, AuthenTec management and support organizations to build & grow all AuthenTec businesses
- Utilize field system engineering, product line, and management to achieve fastest rate of design win success
- Identify the need for executive level interactions with customers and facilitate the establishment of these relationships.
- Work with AuthenTec marketing to identify target accounts in the territory and develop and implement penetration strategies for these accounts.
Required Education/Experience:
- Bachelor’s degree in Electrical Engineering, Computer Science or the Physical Sciences is required. An MBA preferred.
- Proven track record selling Intellectual Property RTL & solution-based semiconductor products [HW/IPR, middleware, application and enterprise back end applications], particularly to ASIC companies and major networking OEMs.
- Experience selling content protection solutions to consumer device OEM’s and digital content providers.
- Background in modern security networking architectures, trusted systems and how symmetric and asymmetric key systems work
- Ability to convey complex value propositions to customers with varying levels of understanding
- Success in negotiating complex contracts, pricing and working with legal teams from large corporations is a must
- Experience in working with customers at the executive management level
- Hands-on leadership ability and willingness to spend a majority of time in the field working directly customers and reps.
- International and Domestic Travel required from 35 to 50%
Description:
We are seeking a highly-creative Algorithm Engineer with a solid background in signal and image processing. This position is an exciting opportunity to make significant technical contributions to cutting-edge technology in fingerprint sensors. The successful candidate will be able to develop robust approaches for restoration of raw biometric data heavily blurred and corrupted with noise. You will also be involved in research and development activities involving image registration, fingerprint image enhancement, feature extraction, and spoof detection.
Required Education/Experience:
- MS/PhD in EE or related discipline with focus on signal and image processing
- Solid understanding of filtering techniques, image restoration and statistical signal processing
- Demonstrable academic/industrial research experience in relevant topics
- Proficiency in C, C++, and Matlab as well as familiarity with object-oriented design principles
- Familiarity with analog and digital circuit design principles is desirable

Description:
The Packaging Engineer will lead effort in the design and development of a new generation of semiconductor IC packaging for advanced finger print sensors. Focus will be on the novel packaging development to meet the unique form factor requirement. This individual will provide direction to the chip designers in the development stage, along with Marketing personnel, to design an optimum cost effective, robust and aesthetically pleasing semiconductor package. He/she will also provide direct technical support to customers and to the company’s offshore manufacturing partners.
Requirements:
- Must possess strong communication and presentation skills
- Strong working knowledge of common packaging manufacturing processes: WB and Flipchip
- Strong working knowledge of 3D mechanical modeling
- Experience in material selection, thermal and electrical properties of IC packages
- Working experience with the packaging assembly subcons
- Occasional domestic and international travel can be expected
